TIME OF COMPLETION
Time is of the essence in the performance of delivery under this contract. All deliveries shall be completed in every detail to the satisfaction of the District Project Consultant Within Thirty (30) Working Days after the date of the Notice to Proceed.

Notice is given that application has been made to the Office of the Comptroller of the Currency, Western District Office, 1225 17th Street, Suite 300, Denver, Colorado 80202, for consent to effect the following transactions: (i) organize Interim BOSC Bank, N.A., San Diego, California (“Interim Bank”), as an interim national banking association and wholly-owned subsidiary of Southern California Bancorp, San Diego, California (“SCB”); (ii) merge Interim Bank with and into Bank of Southern California, N.A., a national banking association, San Diego, California (“BOSC”), pursuant to which SCB will become a bank holding company for BOSC; and (iii) merge CalWest Bank, a California state-chartered bank, Rancho Santa Margarita, California (“CWBank”), with and into BOSC, with BOSC to survive the merger and continue operations under its existing national bank charter.

It is contemplated that the main office and branch offices of CWBank will continue to operate as branch offices of BOSC, and the existing main office and branch offices of BOSC will continue to operate in their existing capacities; however, BOSC is currently evaluating the possibility of closing one or more branch offices of CWBank and/or BOSC following the merger with CWBank. In the event that BOSC determines to close one or more branch offices, BOSC will provide advance notice of such closure(s) in accordance with applicable banking regulations.

This notice is published pursuant to 12 USC 1828(c) and 12 CFR 5. Anyone may submit written comments on this application by February 3, 2020 to: Director of District Licensing, 1225 17th Street, Suite 300, Denver, Colorado 80202.
